As stated above, by decision of the Bondholders' Meeting of March 4, 2005, the maturity date of OCEANE 2000-2005
bonds not tendered under the exchange offer by the Company in the period from March 9 to 31, 2005 was moved back

DIVIDENDS
The Company has not paid any dividends for the past five fiscal years and the Board does not anticipate that it will
propose a dividend for fiscal year 2009-2010.
CORPORATE GOVERNANCE
MANAGEMENT, SUPERVISORY AND OVERSIGHT BODIES
As of the date of the present document, the board of directors has the following membership:
Frank E. Dangeard, Chairman;
Dominique d'Hinnin, Vice Chairman, independent director;
Jeff Lapin, Chief Executive Officer and director;
Didier Lamouche, independent director;
Pascal Cagni, independent director;
Tom Virden, independent director;
The BlueBay Value Recovery (Master) Fund Limited, represented by Gene Davis;
The BlueBay High Yield Investment (Luxembourg) SARL represented by Nolan Bushnell.
Directors are elected by the Shareholders' Meeting for terms of four years. The Board of Directors will propose at the
next extraordinary shareholders meeting to reduce this term from four years to three years to improve the Company’s
corporate governance.
The role of the non-voting member, as set forth in Article 15 of the Articles of Incorporation, is to ensure that the Articles
of Incorporation are complied with and to make recommendations to the Board. He attends Board meetings in a
consultative capacity.
The Board has set up two permanent committees to help it carry out its assignment: the Audit Committee and the
Nomination and Compensation Committee.
A review of the activities of the Board of Directors is included in the Chairman’s report provided for in Article L. 225-37 of
the French Commercial Code (Code de commerce) (see “Report by the Chairman of the Board of Directors on the
preparation and organization of the Board’s activities and on internal control procedures, presented in accordance with
Article L. 225-37 of the French Commercial Code” on page 172-178).
