in voting power of the stock present in person or represented by proxy and entitled to vote on the proposal at the Annual Meeting. Abstentions
are not considered “votes cast,” so they will be disregarded when calculating the votes cast for and against Proposal One, and therefore, will
have no legal effect with respect to the vote on Proposal One. For purposes of determining approval of Proposal Two, abstentions will be
deemed present and entitled to vote and will, therefore, have the same legal effect as a vote “against” Proposal Two.
A broker non-vote will be deemed “not entitled to vote” on the proposal for which the non-vote is indicated and will, therefore, have no
legal effect on the voting for Proposal One and Proposal Two.
