We have audited the consolidated statements of operations, comprehensive income, equity, and cash flows for the year
ended December 31, 2010, and have issued our report thereon dated February 28, 2011; except for Note 24
(Discontinued Operations), as to which the date is February 24, 2012; and except for Notes 1 and 3 regarding the impact
of the adopted new accounting guidance related to the deferral of acquisition costs for insurance and annuity products, as
to which the date is February 26, 2013 (included elsewhere in this Registration Statement). Our audit also included the
financial statement schedule for the year ended December 31, 2010 listed in Item 15(a) of this Annual Report
(Form 10-K). This schedule is the responsibility of the Company’s management. Our responsibility is to express an opinion
based on our audit.
In our opinion, the financial statement schedule referred to above, when considered in relation to the basic financial
statements taken as a whole, presents fairly in all material respects the information set forth therein.
As discussed in Note 1 to the financial statement schedule, certain 2010 amounts have been retrospectively adjusted for
the adoption of new accounting guidance related to the deferral of acquisition costs for insurance and annuity products.
