. Written Statement to Trustee.
The Issuer will furnish to the Trustee on or before March31 in each year (beginning with
March31, 2006), a brief certificate (which need not comply with Section11.05) from the principal executive, financial or accounting
officer of the Issuer stating that in the course of the performance by the signer of his duties as an officer of the Issuer he would
normally have knowledge of any default or non-compliance by the Issuer in the performance of any covenants or conditions contained
in this Indenture, stating whether or not he has knowledge of any such default or non-compliance and, if so, specifying each such
default or non-compliance of which the signer has knowledge and the nature thereof.

Section4.01
. Issuer to Furnish Trustee Information as to Names and Addresses of Securityholders.
If and so long as the Trustee shall
not be the Security registrar for the Securities of any series, the Issuer and any other obligor on the Securities will furnish or cause to
be furnished to the Trustee a list in such form as the Trustee may reasonably require of the names and addresses of the Holders of the
Registered Securities of such series pursuant to Section312 of the Trust Indenture Act of 1939 (a)semi-annually not more than 15 days
after each record date for the payment of interest on such Registered Securities, as hereinabove specified, as of such record date and
on dates to be determined pursuant to Section2.03 for non-interest bearing Registered Securities in each year and (b)at such other
times as the Trustee may request in writing, within 30 days after receipt by the Issuer of any such request as of a date not more than 15
days prior to the time such information is furnished.

Section4.03
. Reports by the Issuer.
The Issuer covenants to file with the Trustee, within 15 days after the Issuer is required to file the
same with the Commission, copies of the annual reports and of the information, documents, and other reports that the Issuer may be
required to file with the Commission pursuant to Section13 or Section15(d) of the Securities Exchange Act of 1934 or pursuant to
Section314 of the Trust Indenture Act of 1939.
Section4.04
. Reports by the Trustee.
Any Trustee’s report required under Section313(a) of the Trust Indenture Act of 1939 shall be
transmitted on or before July15 in each year beginning July15, 2005, as provided in Section313(c) of the Trust Indenture Act of 1939, so
long as any Securities are Outstanding hereunder, and shall be dated as of a date convenient to the Trustee no more than 60 days prior
thereto.
