(q) "Incentive Stock Option" means an Option intended to be (as set forth in the Award Agreement) and which qualifies as an incentive
stock option within the meaning of Section 422(b) of the Code.
(r) "Insider" means an Officer, a member of the Board or any other person whose transactions in Stock are subject to Section 16 of the
Exchange Act.
(s) "Nonstatutory Stock Option" means an Option not intended to be (as set forth in the Award Agreement) an incentive stock option
within the meaning of Section 422(b) of the Code.
(t) "Officer" means any person designated by the Board as an officer of the Company.
(u) "Option" means the right to purchase Stock at a stated price for a specified period of time granted to a Participant pursuant to
Section 6 of the Plan. An Option may be either an Incentive Stock Option or a Nonstatutory Stock Option.
(v) "Parent Corporation" means any present or future "parent corporation" of the Company, as defined in Section 424(e) of the Code.
(w) "Participant" means any eligible person who has been granted one or more Awards.
(x) "Participating Company" means the Company or any Parent Corporation, Subsidiary Corporation or Affiliate.
(y) "Participating Company Group" means, at any point in time, all entities collectively which are then Participating Companies.
(z) "Performance Award" means an Award of Performance Shares or Performance Units.
(aa) "Performance Award Formula" means, for any Performance Award, a formula or table established by the Committee pursuant to
Section 9.3 of the Plan which provides the basis for computing the value of a Performance Award at one or more threshold levels of attainment of the
applicable Performance Goal(s) measured as of the end of the applicable Performance Period.
(bb) "Performance Goal" means a performance goal established by the Committee pursuant to Section 9.3 of the Plan.
(cc) "Performance Period" means a period established by the Committee pursuant to Section 9.3 of the Plan at the end of which one or
more Performance Goals are to be measured.
