(2) Amounts correspond to Autodesk’s Nonstatutory Stock Option Plan, which was terminated by the Board in
December 2004. The Nonstatutory Stock Option Plan permitted the grant to eligible employees of options
to purchase up to 16.9 million shares, all of which have been previously granted. Executive officers and
members of the Board were not eligible to participate in this plan. The Nonstatutory Stock Option Plan was
intended to help the Company attract and retain outstanding individuals in order to promote the Companys
success. Only nonstatutory stock options were granted under the Nonstatutory Stock Option Plan.
