beingpresent,whetherthereisaconflictofinterest.
SupervisoryBoard
General
TheSupervisoryBoardisresponsibleforsupervisingthe
conductoftheManagementBoardandthegeneral
courseofourbusiness,aswellasforprovidingadviceto
theManagementBoard.Inperformingitsduties,the
SupervisoryBoardisrequiredtoactintheinterestsof
thebusinessasawhole.TheArticlesofAssociation
requirecertaindecisionsoftheManagementBoardtobe
approvedbytheSupervisoryBoard.Thesedecisions
includetheissueofsharesorthegrantingofrightsto
subscribeforsharesandtheexclusionofpre-emption
rightstotheextenttheserightsarevestedinthe
ManagementBoard,proposalstoamendtheArticlesof
Association,proposalstomergeordemerge,proposals
todissolvetheCompanyandproposalsforcapital
reductions.
Compositionandappointment
TheArticlesofAssociationprovidethatthenumberof
membersoftheSupervisoryBoardwillbeatleastthree.
EachmemberoftheSupervisoryBoardisappointedfora
maximumoffouryears,whichcanberenewedfortwo
additionalperiodsofnotmorethanfouryearsatatime.
