it may have against the Administrative Agent, and Arranger and any Lender with respect to any
breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction
contemplated hereby.
10.18 Electronic Execution of Assignments and other Documents. The words
"execution," "signed," "signature," and words of like import in this Agreement, in any Assignment
and Assumption or in any amendment or other modification hereof (including waivers and consents)
shall be deemed to include electronic signatures or the keeping of records in electronic form, each
of which shall be of the same legal effect, validity or enforceability as a manually executed signature
or the use of a paper-based recordkeeping system, as the case may be, to the extent and as provided
for in any applicable Law, including the Federal Electronic Signatures in Global and National
Commerce Act, the New York State Electronic Signatures and Records Act, or any other similar
state laws based on the Uniform Electronic Transactions Act.
10.19 USA PATRIOT Act Notice. Each Lender that is subject to the Act (as hereinafter
defined) and the Administrative Agent (for itself and not on behalf of any Lender) hereby notifies
the Loan Parties that pursuant to the requirements of the USA Patriot Act (Title III of Pub. L. 107-56
(the "Patriot Act"), it is required to obtain, verify and record information that identifies the Loan
Parties, which information includes the name and address of the Loan Parties and other information
that will allow such Lender or the Administrative Agent, as applicable, to identify the Loan Parties
in accordance with the Patriot Act. Each Loan Party will comply with reasonable requests of any
Lender for such information.
10.20 Time of the Essence. Time is of the essence in connection with the Loan Documents.
10.21 No Recourse. The parties hereto hereby acknowledge and agree that neither the
MLP General Partner nor any director, officer, employee, limited partner or shareholder of the Loan
Parties or the General Partners shall have any personal liability in respect of the obligations of the
Loan Parties under this Agreement and the other Loan Documents by reason of his, her or its status
as such.
