(a) to file and prove a claim for the whole amount of the principal and interest owing
and unpaid in respect of the Loans, LC Obligations and all other Obligations that are owing and
unpaid and to file such other documents as may be necessary or advisable in order to have the claims
of the Lenders, the LC Issuers and the Administrative Agent (including any claim for the reasonable
compensation, expenses, disbursements and advances of the Lenders, the LC Issuers and the
Administrative Agent and their respective agents and counsel and all other amounts, in each case,
to the extent due the Lenders, the LC Issuers and the Administrative Agent under Sections 2.12 and
10.04) allowed in such judicial proceeding; and
(b) to collect and receive any monies or other property payable or deliverable on any
such claims and to distribute the same;
and any custodian, receiver, assignee, trustee, liquidator, sequestrator or other similar official in
any such judicial proceeding is hereby authorized by each Lender and each LC Issuer to make such
payments to the Administrative Agent and, in the event that the Administrative Agent shall consent
to the making of such payments directly to the Lenders and the LC Issuers, to pay to the
Administrative Agent any amount due for the reasonable compensation, expenses, disbursements
and advances of the Administrative Agent and its agents and counsel, and any other amounts due
the Administrative Agent under Sections 2.12 and 10.04.
Nothing contained herein shall be deemed to authorize the Administrative Agent to authorize
or consent to or accept or adopt on behalf of any Lender or any LC Issuer any plan of reorganization,
arrangement, adjustment or composition affecting the Obligations or the rights of any Lender or
any LC Issuer to authorize the Administrative Agent to vote in respect of the claim of any Lender
or any LC Issuer in any such proceeding.
ARTICLE X
MISCELLANEOUS
10.01 Amendments, Etc. No amendment or waiver of any provision of this Agreement
or any other Loan Document, and no consent to any departure by a Loan Party therefrom, shall be
effective unless in writing signed by the Required Lenders and the applicable Loan Party, and
acknowledged by the Administrative Agent, and each such waiver or consent shall be effective only
in the specific instance and for the specific purpose for which given; provided, however, that no
such amendment, waiver or consent shall:
(a) waive any condition set forth in Section 4.01(a) without the written consent of each
Lender;
(b) extend or increase the Commitment of any Lender (or reinstate any Commitment
terminated pursuant to Section 8.02) without the written consent of such Lender;
(c) postpone any date fixed by this Agreement or any other Loan Document for any
payment of principal, interest, fees or other amounts due to the Lenders (or any of them) hereunder
