INTERNAL CONTROL OVER FINANCIAL REPORTING
Progressives management is responsible for
establishing and maintaining adequate internal
control over financial reporting. Based on Pro-
gressives evaluation under the framework in
Internal Control
Integrated Framework issued
by the Committee of Sponsoring Organizations
of the Treadway Commission (COSO), manage-
ment concluded that Progressives internal
control over financial reporting was effective as
of Decem ber 31, 2010. The complete “Manage-
ment’s Report on Internal Control over Financial
Reporting,” as required by Section 404 of The
Sarbanes-Oxley Act of 2002 and applicable SEC
regulations, along with the related report of
PricewaterhouseCoopers LLP, is presented in
the 2010 Annual Report to Shareholders, which
is attached as an Appendix to Progressives
2011 Proxy Statement.
CEO AND CFO CERTIFICATIONS
Glenn M. Renwick, President and Chief Executive
Officer of The Progressive Corporation, and Brian
C. Domeck, Vice President and Chief Financial
Officer of The Progressive Corporation, have
issued the certifications required by Sections
302
and 906 of The Sarbanes-Oxley Act of 2002 and
applicable SEC regulations with respect to
Progressives 2010 Annual Report on Form 10-K,
including the financial statements provided in
this Report and in the 2010 Annual Report to
Shareholders, which is attached as an Appendix
to Progressive’s 2011 Proxy Statement. Among
other matters required to be included in those
certifications, Mr. Renwick and Mr. Domeck have
each certified that, to the best of his knowledge,
the financial statements, and other financial in-
formation included in the Annual Report on Form
10-K, fairly present in all material respects the
financial condition, results of operations, and cash
flows of Progressive as of, and for, the periods
