EXECUTION VERSION
16.11 Entire Agreement . This Agreement supersedes any other prior or collateral agreements, whether oral or written, with
respect to the subject matter hereof. This Agreement (including any exhibits thereto) constitutes the entire agreement with respect to the subject
matter hereof.
16.12 Counterparts; Facsimiles . This Agreement may be executed in any number of textually identical counterparts, each of
which when so executed and delivered will be deemed an original, and such textually identical counterparts together will constitute one and the
same instrument. Each Party will receive a duplicate original of the counterpart copy or copies executed by it. For purposes hereof, a facsimile or
scanned copy of this Agreement, including the signature pages hereto, will be deemed to be an original. Notwithstanding the foregoing, the
Parties will each deliver original execution copies of this Agreement to one another as soon as practicable following execution thereof.
