BILL OF SALE
SYSTEMAX SUWANEE LLC, a Delaware limited liability company (“Seller”), hereby assigns and transfers to

“Buyer”), all of Seller’s right, title and interest in and to all personal
property owned by Seller and used exclusively in connection with or located on or in the Real Property (as the term
“Real Property” is defined in Recital A of that certain Agreement of Purchase and Sale dated _______________, 2005,
between Seller and Buyer), other than the Removable Property as defined in said Agreement of Purchase and Sale.
Seller represents and warrants to Buyer that that Seller has good title to all such personal property free and clear of all
liens, encumbrances, security interests and adverse claims.

ASSIGNMENT AGREEMENT
THIS ASSIGNMENT AGREEMENT (this “Agreement”) is made and entered into as of this _______________, 200_,
by and between SYSTEMAX SUWANEE LLC, a Delaware limited liability company (“Assignor”), and
_____________________________ (
“Assignee”).
WHEREAS, Assignor, as seller, and Assignee, as buyer, have entered into that certain Agreement of Purchase and Sale
dated as of _____________, 2005 (the “Purchase Agreement”).
WHEREAS, Assignor desires to assign, transfer, set over and deliver to Assignee all of Assignor’s right, title and
interest in and to the Assigned Property (defined below) as hereinafter provided.
NOW, THEREFORE, in accordance with the Purchase Agreement and in consideration of the sum of Ten Dollars
($10.00), the sufficiency and receipt of which are hereby acknowledged, the parties do hereby covenant and agree as
follows and take the following actions:
1. Defined Terms . Unless otherwise defined herein, all initially capitalized words used herein shall have the same
meaning ascribed to them in the Purchase Agreement.
2. Assignment . Assignor does hereby sell, assign, convey and transfer to Assignee all of Assignor’s right, title and
interest in and to the following property to the fullest extent any such property may exist (collectively, the “Assigned
Property”):
2.1 Any and all warranties and guaranties applicable to the design, installment or construction of the Improvements, if
any (the "Warranties and Guarantees");
2.2 Any and all claims and cause of action for defects or deficiencies in the design and/or construction of the Property
or any part thereof (the
Construction Defect Claims
);
