Item 14. Principal Accountant Fees and Services
The following table presents the total fees and expenses that we paid or accrued for audit and other services provided by Ernst & Young
LLP as our independent registered public accounting firm for the years ended December 31, 2012 and 2011:
The Audit Committee has adopted a policy requiring pre-approval by the Audit Committee of all services (audit and non-audit) to be
provided to us by our independent registered public accounting firm in order to ensure that providing such services will not impair the auditor’s
independence. The Audit Committee may delegate to one or more of its members the authority to grant such pre-approvals, provided that any
pre-approval of services pursuant to this delegated authority is presented to the full Audit Committee at its next scheduled meeting. All of the
fees disclosed in the table above were approved by the Audit Committee in accordance with the foregoing pre-approval policy.
