Other Benefits
Our Named Executive Officers participate in the Company's corporate-wide benefit programs. Our Named Executive Officers are
offered benefits that are commensurate with the benefits provided to all full-time CDW coworkers, which includes participation in the
Company's qualified defined contribution plan. Consistent with the Company's performance-based culture, the Company does not offer a
service-based defined benefit pension plan or other similar benefits to its coworkers. Similarly, the Company does not provide nonqualified
retirement programs or perquisites that are often provided at other companies to the Named Executive Officers.
Compensation Committee Report
The Compensation Committee has responsibility for determining the compensation of our Named Executive Officers. The
Compensation Committee has reviewed and discussed the Compensation Discussion and Analysis with management and, based on such review
and discussion, the Compensation Committee recommended to the Board of Directors of CDW Corporation that the Compensation Discussion
and Analysis be included in CDW Corporation's Annual Report on Form 10-
K for the year ended December 31, 2012 and such other filings with
the SEC as may be appropriate.
