Issuer Purchases of Equity Securities
We did not repurchase any of our common or preferred stock during the three months ended December 31, 2009.
Additionally, we do not currently have any outstanding authorizations to repurchase common or preferred stock. Under the
Purchase Agreement, we cannot repurchase our common or preferred stock without Treasury’s prior consent, and we may
only purchase or redeem the senior preferred stock in certain limited circumstances set forth in the Certificate of Creation,
Designation, Powers, Preferences, Rights, Privileges, Qualifications, Limitations, Restrictions, Terms and Conditions of
Variable Liquidation Preference Senior Preferred Stock.
Defaults Upon Senior Securities
As discussed above in “Restrictions on Dividends from REIT Subsidiaries,” our REIT subsidiaries are in arrears in the
payment of dividends with respect to their preferred stock. As of the date of the filing of this report, the total remaining
arrearage with respect to such preferred stock held by third parties was $8 million. For more information, see “NOTE 20:
