RECITALS
The Company has duly authorized the execution and delivery of the Indenture to provide for the issuance of up to $300,000,000

% Senior Notes Due 2015 (the “
Notes
”). All things necessary to make the
Indenture a valid agreement of the Company, in accordance with its terms, have been done, and the Company has done all things
necessary to make the Notes, when executed by the Company and authenticated and delivered by the Trustee and duly issued by the
Company, the valid obligations of the Company as hereinafter provided.
This Indenture is subject to, and will be governed by, the provisions of the Trust Indenture Act that are required to be a part of and
govern indentures qualified under the Trust Indenture Act.
THIS INDENTURE WITNESSETH
For and in consideration of the premises and the purchase of the Notes by the Holders thereof, the parties hereto covenant and agree,
for the equal and proportionate benefit of all Holders, as follows:
