” has the meaning set forth in the Purchase Contract and Pledge Agreement.

Deferral Period,”
with respect to the Subordinated Notes, means any period (or any extension thereof) during which the Company
elects to extend the interest payment on the Subordinated Notes pursuant to Section2.06; provided that a Deferral Period may not
extend beyond the earlier of the Maturity Date or the Purchase Contract Settlement Date of the Subordinated Notes and must end on
an Interest Payment Date.

” has the meaning set forth in the Purchase Contract and Pledge Agreement.

” has the meaning set forth in the Purchase Contract and Pledge Agreement.

Early Settlement
” has the meaning set forth in the Purchase Contract and Pledge Agreement.

Failed Initial Remarketing
” means a Failed Remarketing on the Initial Remarketing Date.

Failed Remarketing
” has the meaning set forth in the Purchase Contract and Pledge Agreement.

Failed Second Remarketing
” means a Failed Remarketing on the Second Remarketing Date.

Final Remarketing Date
” has the meaning set forth in the Purchase Contract and Pledge Agreement.
