Initial Remarketing Date
” has the meaning set forth in the Remarketing Agreement.

Interest Payment Date
” means a Quarterly Interest Payment Date or a Semiannual Interest Payment Date.

Interest Period
” means, with respect to any Interest Payment Date, the period from and including the immediately preceding Interest
Payment Date on which interest was paid or duly provided for (or if none, the date hereof) to, but excluding, such Interest Payment
Date.

Maturity Date
” has the meaning set forth in Section2.02.

Note Payment
” has the meaning set forth in Section9.01.
“
Optional Redemption
” means the redemption of the Subordinated Notes pursuant to the terms of Section3.02.
“
Optional Redemption Date
” has the meaning set forth in Section3.02.

Payment Blockage Notice
” has the meaning set forth in Section9.01.

Payment Blockage Period
” has the meaning set forth in Section9.01.

Person
” means a legal person, including any individual, corporation, estate, partnership, joint venture, association, joint-stock
company, limited liability company, trust, unincorporated organization or government or any agency or political subdivision thereof or
any other entity of whatever nature.
“
Pledged Applicable Ownership Interests in Subordinated Notes
” has the meaning set forth in the Purchase Contract and Pledge
Agreement.
“
Purchase Contract
” has the meaning set forth in the Purchase Contract and Pledge Agreement.
“
Purchase Contract Agent
” has the meaning set forth in the Purchase Contract and Pledge Agreement.
“
Purchase Contract and Pledge Agreement
” means the Purchase Contract and Pledge Agreement, dated as of November22, 2005,
among the Company, The Bank of New York, as Purchase Contract Agent, and attorney-in-fact for Holders of the Purchase Contract,
and The Bank of New York, as Collateral Agent, Custodial Agent and Securities Intermediary, as amended from time to time.
“
Purchase Contract Settlement Date
” has the meaning set forth in the Purchase Contract and Pledge Agreement.
“
Put Price
” has the meaning set forth in Section8.05(a).
