In our opinion, the consolidated financial statements referred to above present fairly, in all material respects, the financial position of Visa Inc. and
subsidiaries as of September 30, 2008, and the results of its operations and its cash flows for the year ended September 30, 2008, and of Visa U.S.A. as of
September 30, 2007, and the results of its operations and cash flows for each of the years in the two-years period ended September 30, 2007, in conformity
with U.S. generally accepted accounting principles. Also in our opinion, Visa Inc. maintained, in all material respects, effective internal control over financial
reporting as of September 30, 2008, based on criteria established in Internal Control – Integrated Framework issued by the Committee of Sponsoring
Organizations of the Treadway Commission.
As discussed in Notes 2 and 3 to the consolidated financial statements, the consolidated balance sheet as of September 30, 2007, and the related
consolidated statements of operations, changes in stockholders' equity, comprehensive income, and cash flows for each of the years in the two-year period
ended September 30, 2007 are those of Visa U.S.A, the accounting acquirer in the reorganization.
