12. Definitions. Except as specifically set forth in the Excess Plan, capitalized terms shall have the meanings assigned to them in the Pre-2002 Plan, the 2002
Plan, or the Cash Balance Plan, as applicable.
To evidence the adoption of this amendment and complete restatement of the Excess Plan effective as of January 1, 2008, this document has been
executed on behalf of the Committee (the Visa Pension Benefits Committee) by an authorized member thereof.
