InJuly2003,weadoptedthe2003EquityIncentivePlan.ConcurrentwiththeeffectivenessofourregistrationstatementonFormS-1onJune28,2010,we
adoptedthe2010EquityIncentivePlan(thePlan)andallremainingcommonsharesreservedforfuturegrantorissuanceunderthe2003EquityIncentivePlan
wereaddedtothe2010EquityIncentivePlan.ThePlanprovidesforthegrantingofstockoptions,RSUsandstockpurchaserightstoouremployees,directorsand
consultants.OptionsgrantedunderthePlanmaybeeitherincentiveoptionsornonqualifiedstockoptions.Incentivestockoptionsmaybegrantedonlytoour
employeesincludingofficersanddirectors.Nonqualifiedstockoptionsandstockpurchaserightsmaybegrantedtoouremployeesandconsultants.Generally,our
stockoptionsandRSUsvestoverfouryearsandareexercisableoveraperiodnottoexceedthecontractualtermoftenyearsfromthedatethestockoptionsare
granted.Continuedvestingtypicallyterminateswhentheemploymentorconsultingrelationshipends.AsofDecember31,2015,22,454,854sharesofcommon


