Section 2.04 Beneficiary. "Beneficiary" means the person, persons or entity designated by
the Participant pursuant to Article VI to receive any benefits payable under the Plan in the event of
the Participant's death.
Section 2.05 Benefit Commencement Date. "Benefit Commencement Date" means (i) with
respect to the Converted Benefits, the first day of the month following the date on which a Participant
has a Separation from Service; and (ii) with respect to the Unit Distributions, one day after the
second anniversary of the Closing Date.
Section 2.06 Board. "Board" means the Board of Directors of the Company.
Section 2.07 Change of Control. For purposes of this Plan, a "Change of Control" means
any "change in control event" within the meaning of Treasury Regulation Section 1.409A-3(i)(5).
Section 2.08 Closing Date. For purposes of this Plan, the term "Closing Date" shall have
the meaning provided in the Agreement and Plan of Merger, dated as of April 29, 2012, as amended,
by and among Energy Transfer Partners, L.P. Sam Acquisition Corporation, Energy Transfer Partners
GP, L.P., Sunoco, Inc. and, for certain limited purposes set forth therein, Energy Transfer Equity,
L.P.
Section 2.09 Code. "Code" shall mean the Internal Revenue Code of 1986, as amended,
including regulations and guidance of general applicability issued thereunder.
Section 2.10 Company. "Company" means Energy Transfer Partners GP, L.P. and its
successors.
Section 2.11 Converted Benefits. "Converted Benefits" means (i) with respect to Robert
W. Owens, the "Converted Benefit" described in Section 7 of the employment offer letter between
Energy Transfer Partners, L.P. and Robert W. Owens dated October 4, 2012; and (ii) with respect
to Michael J. Hennigan, the "Converted Benefit" described in Section 7 of the employment offer
letter between Energy Transfer Partners, L.P. and Michael J. Hennigan dated October 4, 2012.
Section 2.12 Designee. "Designee" shall mean the Employer's senior human resources
officers or other individuals to whom the Administrative Committee has delegated its authority to
act under the Plan. Wherever Administrative Committee is referenced in the plan, it shall be deemed
to also refer to Designee.
Section 2.13 Earnings. "Earnings" shall mean the earnings credited to and/or losses debited
from a Participant's Account on the basis of the Hypothetical Investment Benchmarks applicable
to the Participant's Account under Section 4.02.
Section 2.14 Employer. "Employer" means the Company.
