could lead to reduced new restaurant openings or unit closings at greater than anticipated levels and
thereforeadverselyimpactourabilitytoachieveourtargetsforgrowthandresultsofoperationsaswell
ashaveanegativeimpactonmarketshare.
Our business and brand may be harmed shouldthe services of our Founder, John Schnatter, as Chief
ExecutiveOfficer,Chairmanorbrandspokesmanterminateforanyreason.Failuretoeffectivelyexecute
successionplanningcouldharmourCompanyandbrand.
John H. Schnatter, our Founder, Chairman and Chief Executive Officer, does not serve under an
employmentagreementandwedonotmaintainkeymanlifeinsuranceonMr.Schnatter.Wealsodepend
onthecontinuedavailabilityofMr.Schnatter’simageandhisservicesasspokesmaninouradvertising
andpromotionmaterials.WhilewehaveenteredintoalicenseagreementwithMr.Schnatterrelatedto
theuseofcertainintellectualpropertyrelatedtohisname,likenessandimage,ourbusinessand brand
may be harmed if Mr. Schnatter’s services were not available to the Company for any reason or the
reputation of Mr. Schnatter were negatively impacted. In addition, failure to effectively execute
successionplanningcouldharmourCompanyandbrand.
We may be required to resort to litigation to protect our intellectual property rights, which could
negativelyaffectourresultsofoperations.
WedependonourPapaJohn’sbrandnameandrelyonacombinationoftrademarks,copyrights,service
marksandsimilarintellectualpropertyrightstoprotectandpromoteourbrand.Webelievethesuccessof
our business depends on our continued ability to use our existing trademarks and service marks to
increasebrandawarenessandfurtherdevelopourbrand,bothdomesticallyandabroad.Wemaynotbe
abletoadequatelyprotectourintellectualpropertyrightsandwemayberequiredtoresorttolitigationto
enforce such rights. Litigation could result in high costs and diversion of resources, which could
negativelyaffectourresultsofoperations,regardlessoftheoutcome.
Disruptionsofourcriticalbusinessorinformationtechnologysystemscouldharmourabilitytoconduct
normalbusiness.
Werelyheavilyoninformationsystems,includingdigitalorderingsolutions,throughwhichover45%of
ourdomesticsalesoriginate.Wealsorelyheavilyonpoint-of-saleprocessinginourrestaurantsfordata
collectionandpaymentsystemsforthecollectionofcash,creditand debitcardtransactions,andother
processesandprocedures.Ourabilitytoefficientlyandeffectivelymanageourbusinessdependsonthe
reliability and capacity of these technology systems. In addition, we anticipate that consumers will
continuetohavemoreoptionstoplaceordersdigitally,bothdomesticallyandinternationally.Ourfailure
toadequatelyinvestinnewtechnology,particularlyourdigital orderingcapabilities, couldcause usto
loseourcompetitiveadvantageandhaveanadverseeffectonourresults.
Oursystemscouldbedamagedorinterruptedbypowerlossthroughvarioustechnologicalfailuresoracts
ofGod.Inparticular,wemayexperienceoccasionalinterruptionsofourdigitalorderingsolutions,which
makeonlineorderingunavailable orslowtorespond,negativelyimpactingsalesandtheexperience of
ourcustomers.Ifourdigitalorderingsolutionsdonotperformwithadequatespeed,ourcustomersmay
belessinclinedtoreturntoourdigitalorderingsolutions,asfrequentlyoratall.Ifoursystemsdonot
