MATTERS AND ISSUER PURCHASES OF EQUITY SECURITIES
There is no established public trading market for the Company’s common stock. The Company had one
record holder of common stock on March 1, 2010, and no equity securities of the Company are authorized for
issuance under any equity compensation plan.
In 2008, the Company paid two dividends that totaled $1.8 million. The senior secured revolving credit
facility, senior secured term loan facility, and the indentures for the senior notes, senior PIK notes, and senior
subordinated notes limit the Company’s ability to pay dividends. See “Management’s Discussion and Analysis of
Financial Condition and Results of Operations-Liquidity and Capital Resources” and Note 13 to the
accompanying financial statements included in Item 8 of this Form 10-K.
