(1) Western Union (“WU”) equity awards were granted under the 1992 and/or 2002 First Data Corporation Long-Term Incentive Plans in
connection with the spin-off of Western Union from FDC in September 2006. At that time, one option of WU was granted for each FDC
option held and strike prices were adjusted accordingly to provide equivalent value. All unvested Western Union Equity Awards became
fully vested on September 24, 2007. All Holdings equity awards were granted under the 2007 Stock Incentive Plan for Key Employees of
First Data Corporation and its Affiliates.
(2) Option vesting terms are described in footnote 3 of the Grants of Plan-Based Awards Table.
(3) Restricted Share vesting terms are described in footnote 2 of the Grants of Plan-Based Awards Table. Market value of the shares is based
