“Disability” meansthattheParticipantisbotheligibleforandinreceiptofbenefitsundertheCompany’slong-term
disabilityplan.
“Employment” meansemploymentwiththeCompanyoranyofitsSubsidiaries.
“Non-Section 409A Change in Control” meansaChangeinControlthatisnotaSection409AChangeinControl.
“Retirement” meansaterminationofEmploymentthatisalsoSeparationfromService(i)onorafterattainmentof
age55and(ii)withatleastfiveyearsofservice;provided, however ,thatsuchterminationofEmploymentisnotbytheCompany
forCause.ForpurposesofthisAwardAgreement,“Cause”meanstheParticipant’s(a)grossnegligenceintheperformanceofhisor
her duties, (b) intentional and continued failure to perform his or her duties, (c) intentional engagement in conduct which is
materiallyinjurious to theCompany orits Subsidiaries(monetarilyor otherwise)or (d)convictionof afelony ora misdemeanor
involvingmoralturpitude.Forthispurpose,anactorfailuretoactonthepartoftheParticipantwillbedeemed“intentional”onlyif
doneoromittedtobedonebytheParticipantnotingoodfaithandwithoutreasonablebeliefthathisorheractionoromissionwasin
thebestinterestoftheCompany,andnoactorfailuretoactonthepartoftheParticipantwillbedeemed“intentional”ifitwasdue
primarilytoanerrorinjudgmentornegligence.
“Section 409A” meansCodeSection409AandtheTreasuryregulationsandguidanceissuedthereunder.
“Section 409A Change in Control” meansaChangeinControlthatsatisfiestherequirementsofachangeincontrol
forpurposesofCodeSection409A(a)(2)(A)(v)andtheTreasuryregulationsandguidanceissuedthereunder.
“Separation from Service” meansaseparationfromservicewiththeCompanyoranyofitsSubsidiarieswithinthe
meaningofTreasuryRegulation§1.409A-1(h)(oranysuccessorregulation).
“Termination Date” meansthedateoftheParticipant’sSeparationfromService.
“Vesting Date” meansoneormorevestingdatesasspecifiedintheAwardNotice.
2. Establishment of RSU Award Account. ThegrantofunitsofCommonStockoftheCompanypursuanttothis
AwardAgreementshallbeimplementedbyacredittoabookkeepingaccountmaintainedbytheCompanyevidencingtheaccrualin
favoroftheParticipantoftheunfundedandunsecuredrighttoreceiveacorrespondingnumberofsharesofCommonStock,which
rightshallbesubjecttotheterms,conditionsandrestrictionssetforthinthePlanandtothefurtherterms,conditionsandrestrictions
set forth in this Award Agreement. Except as otherwise provided in Section 10 of this Award Agreement, the units of Common
StockcreditedtotheParticipant’sbookkeepingaccountmaynotbesold,assigned,transferred,
