PursuanttothisQualifiedPerformanceAwardAgreement(the“AwardAgreement”),C ENTER P OINT E NERGY , I NC .
(the“Company”)herebygrantstotheParticipant,anemployeeoftheCompany,thisQualifiedPerformanceAward(the“Award”)covering
the target number of shares of Common Stock (the “Target Shares”) as specified in the award notice on this administrator web site (the
“AwardNotice”),pursuanttotheC ENTER P OINT E NERGY , I NC . 2009 L ONG T ERM I NCENTIVE P LAN (the“Plan”).Thenumberof
Target Shares shall be subject to adjustment as provided in Section 14 of the Plan, conditioned upon the Company’s achievement of the
PerformanceGoalsoverthecourseofthe20XX–20XXPerformanceCycle,andsubjecttothefollowingtermsandconditions:
1. Relationship to the Plan. TheAwardissubjecttoalloftheterms,conditionsandprovisionsofthePlanineffect
onthedatehereofandadministrativeinterpretationsthereunder,ifany,adoptedbytheCommittee.Totheextentthatanyprovisionofthis
AwardAgreementconflictswiththeexpresstermsofthePlan,itisherebyacknowledgedandagreedthatthetermsofthePlanshallcontrol
and,ifnecessary,theapplicableprovisionsofthisAwardAgreementshallbeherebydeemedamendedsoastocarryoutthepurposeand
intentofthePlan.ReferencestotheParticipanthereinalsoincludetheheirsorotherlegalrepresentativesoftheParticipant.
2. Definitions. Exceptasdefinedherein,capitalizedtermsshallhavethesamemeaningsascribedtothemunderthePlan.
ForpurposesofthisAwardAgreement:
“Achievement Percentage” means the percentage of achievement determined by the Committee after the end of the
Performance Cycle in accordance with Section 4 that reflects the extent to which the Company achieved the Performance Goals
duringthePerformanceCycle.
“Change in Control Closing Date” meansthedateaChangeinControlisconsummatedduringthePerformanceCycle.
“Disability” meansthattheParticipantis(i)eligibleforandinreceiptofbenefitsundertheCompany’slong-termdisability
planand(ii)noteligibleforRetirement.
“Employment” meansemploymentwiththeCompanyoranyofitsSubsidiaries.
“Performance Cycle” meanstheperiodbeginningonJanuary1,20XXandendingonDecember31,20XX.
“Performance Goal” meansthestandardsestablishedbytheCommitteeforthePerformanceCycletodetermineinwholeor
