2009 LONG TERM INCENTIVE PLAN
FORM OF QUALIFIED PERFORMANCE AWARD AGREEMENT
January 1, 20XX– December 31, 20XX PERFORMANCE CYCLE
Pursuant to this Qualified Performance Award Agreement (the “Award Agreement”), CENTERPOINT ENERGY, INC.
(the“Company”)herebygrantsthis QualifiedPerformanceAward(the“Award”)coveringthetargetnumberofsharesofCommonStock
(the “Target Shares”) as specified in the award notice on this Computershare web site (the “Award Notice”), pursuant to the
CENTERPOINT ENERGY, INC. 2009 LONG TERM INCENTIVE PLAN (the“Plan”).ThenumberofTargetSharesshallbesubjectto
adjustmentasprovidedinSection14ofthePlan,conditionedupontheCompany’sachievementofthePerformanceGoalsoverthecourseof
the20XX–20XXPerformanceCycle,andsubjecttothefollowingtermsandconditions:
1. Relationship to the Plan. TheAwardissubjecttoalloftheterms,conditionsandprovisionsofthePlanineffect
onthedatehereofandadministrativeinterpretationsthereunder,ifany,adoptedbytheCommittee.Totheextentthatanyprovisionofthis
AwardAgreementconflictswiththeexpresstermsofthePlan,itisherebyacknowledgedandagreedthatthetermsofthePlanshallcontrol
and,ifnecessary,theapplicableprovisionsofthisAwardAgreementshallbeherebydeemedamendedsoastocarryoutthepurposeand
intentofthePlan.ReferencestotheParticipanthereinalsoincludetheheirsorotherlegalrepresentativesoftheParticipant.
2. Definitions. Exceptasdefinedherein,capitalizedtermsshallhavethesamemeaningsascribedtothemunderthePlan.
ForpurposesofthisAwardAgreement:
“Achievement Percentage” means the percentage of achievement determined by the Committee after the end of the
Performance Cycle in accordance with Section 3 that reflects the extent to which the Company achieved the Performance Goals
duringthePerformanceCycle.
“Change in Control Closing Date” meansthedateaChangeinControlisconsummatedduringthePerformanceCycle.
“Disability” meansthattheParticipantis(i)eligibleforandinreceiptofbenefitsundertheCompany’slong-termdisability
planand(ii)noteligibleforRetirement.
“Employment” meansemploymentwiththeCompanyoranyofitsSubsidiaries.
“Performance Cycle” meanstheperiodbeginningonJanuary1,20XXandendingonDecember31,20XX.
“Performance Goal” meansthe standards established by the Committee for the Performance Cycle to determine in
wholeorinpartthenumberofVestedSharespursuanttoSection4,whicharespecifiedintheperformancegoalssectionof
theAwardNoticeandmadeaparthereofforallpurposes.
