PROXY STATEMENT FOR 2006 ANNUAL MEETING OF STOCKHOLDERS
Questions and Answers About the 2006 Annual Meeting and Procedural Matters
Q: Why am I receiving these materials?
A: The Board of Directors of Autodesk (“Autodesk” or the “Company”) is providing these proxy materials to
you in connection with the solicitation of proxies for use at the Annual Meeting of Stockholders (the Annual
Meeting”) to be held on Thursday, June 8, 2006, at 2:00 p.m., Pacific time, and at any adjournment or
postponement thereof, for the purpose of considering and acting upon the matters set forth herein.
The Annual Meeting will be held at Autodesk’s principal executive offices, located at 111 McInnis Parkway,
San Rafael, California 94903. The telephone number at that location is (415) 507-5000.
Stockholders are invited to attend the Annual Meeting and are entitled to and requested tovote on the proposals
to elect ten directors and approve the ratification of the independent registered public accounting firm.
Q: Can I attend the Annual Meeting?
A: You are cordially invited to attend the Annual Meeting if you are a stockholder of record or a beneficial
owner as of April 17, 2006. Please notify our Vice President of Investor Relations, Sue Pirri, by calling
(415) 507-6705 or by email at investor[email protected] if you are planning to attend the Annual
Meeting. In addition, you should bring proof of identity for entrance to the Annual Meeting. If your shares
are held in a brokerage account or by a bank or another nominee, you will need to bring a copy of a
brokerage statement reflecting stock ownership as of the record date.
Q: Who is entitled to vote at the Annual Meeting?
A: Holders of record of Autodesk’s common stock, par value $0.01 per share (the “Common Stock”), at the close
of business on April 17, 2006 (the “Record Date”) are entitled to receive notice of and to vote their shares
at the Annual Meeting. Such stockholders are entitled to cast one vote for each share of Common Stock
held as of the Record Date.
As of the Record Date, there were 230,994,038 shares of Common Stock outstanding and entitled to vote
at the Annual Meeting. No shares of Autodesk’s Preferred Stock were outstanding.
Q: What is the difference between holding shares as a stockholder of record and as a beneficial owner?
A: If your shares are registered directly in your name with Autodesk’s transfer agent, Computershare
Investor Services LLC, you are considered, with respect to those shares, the “stockholder of record.” The
Notice of Annual Meeting, Proxy Statement and accompanying form of proxy card have been sent directly
to you by Autodesk.
Many Autodesk stockholders hold their shares through a broker, bank or other nominee, rather than directly
in their own name. If your shares are held in a brokerage account or by a bank or another nominee, you
are considered the “beneficial owner” of shares held in “street name.” The Notice of Annual Meeting, Proxy
Statement and accompanying form of proxy card have been forwarded to you by your broker, bank or other
nominee who is considered, with respect to those shares, the stockholder of record.
As the beneficial owner, you have the right to direct your broker, bank or other nominee on how to vote
your shares. For directions on how to vote shares beneficially held in street name, please refer to the voting
instruction card provided by your broker, bank or other nominee.
