NOTICE OF 2006 ANNUAL MEETING OF STOCKHOLDERS
Time and Date Thursday, June 8, 2006, at 2:00 p.m., Pacific time.
Place Autodesk’s principal executive offices, located at:
111 McInnis Parkway, San Rafael, California 94903.
Items of Business (1) To elect ten directors to serve for the ensuing year and until their successors are
duly elected and qualified.
(2) To ratify the appointment of Ernst & Young LLP as the Company’s independent
registered public accounting firm for the fiscal year ending January 31, 2007.
(3) To transact such other business as may properly come before the Annual Meeting.
These items of business are more fully described in the Proxy Statement
accompanying this Notice of Annual Meeting.

Any action on the items of business described above may be considered at the Annual
Meeting at the time and on the date specified above or at any time and date to which
Annual Meeting may be properly adjourned or postponed.
Record Date You are entitled to vote if you were a stockholder of record as of the close of business
on April 17, 2006.
