during the prior fiscal year. Autodesk issued 1.9 million shares at an average price of $17.99 per share in fiscal
2006, 4.6 million shares at an average price of $5.73 per share in fiscal 2005, and 4.2 million shares at an average
price of $5.48 in fiscal 2004. The provisions of this plan expire during 2018.

Pretax Savings Plan
Autodesk has a 401(k) plan that covers nearly all U.S. employees. Eligible employees may contribute up to
50% of their pretax salary, subject to limitations mandated by the Internal Revenue Service; in fiscal 2004
employees were limited to contributions up to 20% of their pretax salary. Autodesk makes voluntary cash
contributions and matches a portion of employee contributions in cash. Autodesk’s contributions were
$6.6 million in fiscal 2006, $6.0 million in fiscal 2005 and $6.2 million in fiscal 2004. Autodesk does not allow
participants to invest in Autodesk common stock through the 401(k) plan.
Other Plans
Autodesk provides defined-contribution plans in certain foreign countries where required by statute.
Autodesk’s funding policy for foreign defined-contribution plans is consistent with the local requirements in each
country. Autodesk’s contributions to these plans were $5.5 million in fiscal 2006, $4.7 million in fiscal 2005 and
$4.4 million in fiscal 2004.
