Financing Arrangements with Related Parties
Affiliates of JPMorgan (which is one of the Equity Sponsors) have provided investment banking and commercial banking services to us for which they
have received customary fees and commissions. In addition, these parties have acted as agents and lenders to us under our Credit Facilities and as initial
purchasers for the 2020 Notes, for which they have received customary fees, commissions, expenses and/or other compensation. The Company entered into
Registration Rights Agreements with an affiliate of JPMorgan in connection with the issuance of the 2020 Notes.
ITEM 14. PRINCIPAL ACCOUNTING FEES AND SERVICES
The Board selected Deloitte & Touche LLP as our independent auditors for 2011. The Board pre-approves all audit, audit-related and non-audit related
services to be provided by our independent auditors.
The following table presents, for 2011 and 2010, fees for professional services rendered by Deloitte & Touche LLP for the audit of our annual financial
statements, audit-related services, tax services and all other services rendered by Deloitte & Touche LLP. In accordance with the SEC's definitions and rules,
"audit fees" are fees ServiceMaster paid Deloitte & Touche LLP for professional services for the audit of ServiceMaster's Consolidated Financial Statements
included in ServiceMaster's Annual Report on Form 10-K, review of the financial statements included in ServiceMaster's quarterly reports on Form 10-Q and
services that are normally provided by Deloitte & Touche LLP in connection with statutory and regulatory filings or engagements; "audit-related fees" are
fees for assurance and related services that are reasonably related to the performance of the audit or review of ServiceMaster's financial statements; "tax fees"
are fees for tax compliance, tax advice and tax planning; and "all other fees" are fees for any products and services provided by Deloitte & Touche LLP not
included in the first three categories.
