18. Nonassignability. This Agreement is personal in nature and neither of the parties hereto shall, without the consent of the other, assign or transfer this
Agreement or any rights or obligations hereunder, except as provided in Section 11 above. Without limiting the foregoing, your right to receive payments
hereunder, shall not be assignable or transferable, whether by pledge, creation of a security interest or otherwise, other than by a transfer by will or by the laws of
descent and distribution and in the event of any attempted assignment or transfer contrary to this Section the Company shall have no liability to pay any amounts
so attempted to be assigned or transferred.
19. No Right to Employment. Nothing in this Agreement shall confer on you any right to continue in the employ of the Company, or interfere with or
restrict in any way the rights of the Company, which are hereby expressly reserved, to discharge you at any time for any reason whatsoever, with or without
cause.
20. Miscellaneous. No agreements or representations, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by
either party which are not set forth expressly in this Agreement. This Agreement shall not affect your rights under any pension, welfare or fringe benefit
arrangements of the Company under which you are entitled to receive any benefits. The validity, interpretation, construction and performance of this Agreement
shall be governed by the laws of the State of Delaware. The provisions of this Agreement, and any payment provided for hereunder, shall not reduce any amounts
otherwise payable, or in any way diminish your existing rights, or rights which would accrue solely as a result of the passage of time, under any employment
agreement or other contract, plan or agreement with the Company.
21. Complete Agreement. This Agreement sets forth the entire agreement of the parties hereto in respect of the subject matter contained herein and
therein and supersedes the Prior Agreement and all other prior agreements, promises, covenants, arrangements, communications, representations or warranties,
whether oral or written, by any officer, employee or representative of any party hereto, and any prior agreement of the parties hereto in respect of the subject
matter contained herein, including without limitation, any prior severance agreements, any contrary or limiting provisions in any Company equity compensation
plan. This Agreement shall not limit in any way any obligation Executive may have under any other agreement with or promise to the Company relating to
confidentiality, proprietary rights in technology or the assignment of interests in any intellectual property
