Ant-takeover constructons and control over the company
NV confrms that t has no ant-takeover constructons, n the
sense of constructons that are ntended solely, or prmarly to
block future hostle publc offers for ts shares (bpp IV311)
Nor does NV have any constructons whose specfc purpose
s to prevent a bdder, after acqurng 75% of the captal, from
appontng or dsmssng members of the Board and subsequently
alterng the Artcles of Assocaton The acquston through a
publc offer of a maorty of the shares n a company does not,
under Dutch law, preclude the contnued rght of the board of
the company to exercse ts powers
orporate overnance Statement NV s requred to make a
statement concernng corporate governance as referred to n artcle
2a of the decree on addtonal requrements for annual reports
(Vaststellngsbeslut nadere voorschrften nhoud aarverslag) wth
effect from 1 January 2010 (the Decree) The nformaton requred to
be ncluded n ths corporate governance statement as descrbed n
artcles 3, 3a and 3b of the Decree can be found on our webste

THE UNITED KINDOM
PL, beng a company that s ncorporated n the UK and lsted
on the London Stock Exchange, s requred to state how t has
appled the man prncples and how far t has compled wth the
provsons set out n the 2012 UK orporate overnance ode
(UK ode), whch s avalable on the Fnancal Reportng ouncl’s
(FR) webste In 2014 PL compled wth all UK ode provsons

Rsk Management and ontrol Our approach to rsk management
and systems of nternal control s n lne wth the recommendatons
n the report on ‘Internal ontrol – Revsed udance for Drectors
on the UK ombned ode’ (The Turnbull gudance) It s Unlever’s
practce to brng acqured companes wthn the roups
governance procedures as soon as s practcable and n any event
by the end of the frst full year of operaton
reenhouse as (H) Emssons As part of our Unlever
Sustanable Lvng Plan (USLP), we have set ambtous
eco-effcency targets whch nclude carbon doxde (O2)
emssons from energy used n manufacturng as well as water
and waste and targets for the new factores we are buldng
In lne wth the ompanes Act 2006 (Strategc Report and
Drectors’ Report) Regulatons 2013 our greenhouse gas
performance s set out below We have used the reenhouse as
(H) Protocol orporate Accountng and Reportng Standard
(H Protocol) to calculate emssons of carbon doxde from the
combuston of fuels and the operaton of facltes (Scope 1) and
from purchased electrcty, heat, steam and coolng (Scope 2) for
our manufacturng facltes
arbon emsson factors are used to convert energy used n
manufacturng to emssons of O2 arbon emsson factors for
fuels are provded by the Intergovernmental Panel on lmate
hange (IP)
arbon emsson factors for electrcty reflect the country or
sub-regon where each manufacturng ste s located and are
provded by the Internatonal Energy Agency (IEA) and local
regulatory authortes, for example the Unted States
Envronmental Protecton Agency (US EPA) We have selected
an ntensty rato based on producton ths algns wth our
long-standng reportng of manufacturng performance
The H data relates to emssons durng the 12-month perod
from 1 October 2013 to 30 September 2014 Ths perod s dfferent
from that for whch the remander of the Drectors’ Report s
prepared (whch s the calendar year 2014)
Emssons of O2 from manufacturng (tonnes),
1 October 2013 to 30 September 2014 (1 October 2012
to 30 September 2013)
Scope 1 929,360 tonnes O2 (1,013,690 tonnesO2)
Scope 2 919,803 tonnes O2 (939,457 tonnes O2)
Total Scope 1 & 2 1,849,163 tonnes O2+ (1,953,147 tonnes O2+)
Intensty rato 9193 kg O2 per tonne of producton+
(9885 kg O2 per tonne of producton+)
Emssons data ncludes materal sources of Scope 1 and 2
emssons that have been subect to external assurance, e
emssons of O2 from energy used n manufacturng Emssons
from the combuston of bogenc fuels (bomass, fuel crops etc) at
our manufacturng stes are reported separately to other Scope 1
and 2 emssons, as recommended by the H Protocol, and
excluded from our ntensty rato calculaton
Our H data does not nclude mnor emssons sources that are
beyond our boundary of fnancal control or that are not materal
For example, emssons of O2 from energy used n our offces
and warehouses are excluded, although we contnue to drve
mprovements n these areas through our USLP targets The data
also excludes Scope 3 emssons (ncludng consumer use of our
products) whch we report as part of our USLP (see below)
One of the three bg goals of the USLP s to halve the
envronmental footprnt of the makng and use of our products by
2020 (see page 11) Ths s expressed on a per consumer use bass
– e a sngle use, porton or servng of a product and measures
the H emssons assocated wth the lfecycle of a product from
raw materals to manufacturng to consumer use and dsposal
To calculate ths we consder emssons spannng Scopes 1, 2 and
3 See page 11 and our onlne Unlever Sustanable Lvng Report
2014 (to be publshed n May 2015) for further detal

wwwunlevercom/sustanable-lvng
Progress Durng the Year Total Scope 1 and 2 emssons durng
the reportng perod have demonstrated sgnfcant reducton
compared to the prevous reportng perod They have also
decreased sgnfcantly compared to the 2008 baselne year of the
target to reduce H n manufacturng n the USLP (2008 baselne)
Absolute emssons reduced by 53% compared to the prevous
12 months (a reducton of 70% per tonne of producton) and by
over 930,000 tonnes+ (37% per tonne of producton+) compared
to the 2008 baselne Some of the bggest contrbutors to our
reductons n O emssons from energy used n manufacturng
durng the reportng year were
energy savngs through adopton of a wde range of
technologes, behavours and the sharng of best practce
Energy use reduced by 72% per tonne of producton durng the
reportng perod compared to the prevous 12 months and
nvestment n cost-effectve renewable energy technologes
At the end of the calendar year, the number of manufacturng
stes that use ether renewable fuels or other renewable
energy generated on ste ncreased to 50 out of our total of 247
+ Pw assured For further detals and the bass of preparaton see our webste
