Cease Trade Orders, Bankruptcies, Penalties or Sanctions
Other than as disclosed, for the ten years ended December 31, 2005, TELUS is not aware that
any current director or officer of TELUS had been a director or officer of another issuer which,
while that person was acting in that capacity, became bankrupt or made a proposal under any
legislation relating to bankruptcy or insolvency or was subject to or instituted any proceedings,
arrangements or compromises with creditors or had a receiver, receiver manager or trustee
appointed to hold its assets. In December 1998, J.S. Lacey was asked by a group of shareholders
to lead the Loewen restructuring, as Chairman of the Board, a position he held at the time of
Loewen’s filing under Chapter 11 of the U.S. Bankruptcy Code and the Companies’ Creditors
Arrangement Act (Canada).
For the ten years ended December 31, 2005, TELUS is not aware that any current director or
officer of TELUS had been a director or officer of another issuer which, while that person was
acting in that capacity, was the subject of a cease trade or similar order or was subject to an event
that resulted, after the director or executive officer ceased to be a director or executive officer, of
the company being the subject of a cease trade or similar order that denied the company relevant
access to any exemption under securities legislation for a period of more than 30 consecutive
days.
