(A) the representations and warranties of each Borrower and each Loan Party contained in each Loan Document to which it is a

party are true and correct as of the date hereof, before and after giving effect to the Proposed Borrowing and to the application of the proceeds therefrom, as

though made on the date hereof;

(B) no event has occurred and is continuing, or would result from the Proposed Borrowing or from the application of the proceeds

therefrom, that constitutes a Default;

(C) the making of the Proposed Borrowing will not violate any requirement of law and is not enjoined, temporarily, preliminarily or

permanently; and

(D) [no Borrowing Base Deficiency will exist after giving effect to the Proposed Borrowing and to the application of the proceeds

therefrom.]
