On March 14, 2012, Huntington Bancshares Incorporated announced that the Federal Reserve did not object to Huntington's
proposed capital actions included in Huntington's capital plan submitted to the Federal Reserve in January 2012. These actions
included the potential repurchase of up to $182 million of common stock and a continuation of Huntington's current common dividend
through the first quarter of 2013. Huntington's Board of Directors authorized a share repurchase program consistent with Huntington’s
capital plan. During the 2012 fourth quarter, Huntington repurchased a total of 13.2 million shares at a weighted average share price
of $6.33. For the year ended December 31, 2012, Huntington purchased 23.3 million common shares at a weighted average price of
$6.36 per share. Huntington did not repurchase any common shares for the year ended December 31, 2011.
