Assignment and Acceptance pursuant to which such Lender assumed a portion of the Total Euro Tranche B-2 Term Loan Commitment, in each case as the
same may be changed from time to time pursuant to the terms hereof. The aggregate amount of the Euro Tranche B-2 Term Loan Commitments as of the
Original Closing Date (after giving effect to this amendment and restatement) was €470,370,370.37.
"Euro Tranche B-2 Term Loan Lender" shall mean a Lender with a Euro Tranche B-2 Term Loan Commitment or an outstanding Euro
Tranche B-2 Term Loan.
"Euro Tranche Term Loan Maturity Date" shall mean September 24, 2014 or, if such date is not a Business Day, the first Business Day
thereafter.
"Event of Default" shall have the meaning provided in Section 11.
"Excess Cash Flow" shall mean, for any period, an amount equal to the excess of
(a) the sum, without duplication, of
(i) Consolidated Net Income for such period,
(ii) an amount equal to the amount of all non-cash charges to the extent deducted in arriving at such Consolidated Net Income and cash
receipts included in clauses (a) through (f) of the definition of "Consolidated Net Income" and excluded in arriving at such Consolidated Net
Income,
(iii) decreases in Consolidated Working Capital for such period (other than any such decreases arising from acquisitions by the Borrower
and the Restricted Subsidiaries completed during such period or the application of purchase accounting),
(iv) an amount equal to the aggregate net non-cash loss on Dispositions by the Borrower and the Restricted Subsidiaries during such period
(other than Dispositions in the ordinary course of business) to the extent deducted in arriving at such Consolidated Net Income; and
(v) cash receipts in respect of Hedge Agreements during such fiscal year to the extent not otherwise included in Consolidated Net Income;
over (b) the sum, without duplication, of
(i) an amount equal to the amount of all non-cash credits included in arriving at such Consolidated Net Income and cash charges included
in clauses (a) through (f) of the definition of Consolidated Net Income and included in arriving at such Consolidated Net Income,
(ii) without duplication of amounts deducted pursuant to clause (xi) below in prior years, the amount of Capital Expenditures or
acquisitions of intellectual property accrued or made in cash during such period, except to the extent that such Capital Expenditures or
acquisitions were financed with the proceeds of Indebtedness of the Borrower or the Restricted Subsidiaries (unless such Indebtedness has been
repaid),
