"BBA LIBOR" shall have the meaning provided in the definition of "LIBOR Rate."
"benefited Lender" shall have the meaning provided in Section 13.8.
"Board" shall mean the Board of Governors of the Federal Reserve System of the United States (or any successor).
"Borrower" shall have the meaning provided in the preamble to this Agreement.
"Borrowing" shall mean and include (a) the incurrence of Swingline Loans from the Swingline Lender on a given date, (b) the incurrence of one
Type of Term Loan on the Original Closing Date (or resulting from conversions on a given date after the Original Closing Date) having, in the case of LIBOR
Term Loans, the same Interest Period (provided that ABR Loans incurred pursuant to Section 2.10(b) shall be considered part of any related Borrowing of
LIBOR Term Loans) and (c) the incurrence of one Type of Revolving Credit Loan on a given date (or resulting from conversions on a given date) having, in
the case of LIBOR Revolving Credit Loans, the same Interest Period (provided that ABR Loans incurred pursuant to Section 2.10(b) shall be considered part
of any related Borrowing of LIBOR Revolving Credit Loans).
"British Pounds Sterling" shall mean the lawful currency of Great Britain.
"Business Day" shall mean any day excluding Saturday, Sunday and any other day on which banking institutions in New York City are
authorized by law or other governmental actions to close, and,
(a) if such day relates to any interest rate settings as to a LIBOR Loan denominated in Dollars or any Alternative Currency (other than Euro), any
fundings, disbursements, settlements and payments in Dollars or any Alternative Currency (other than Euro) in respect of any such LIBOR Loan, or any
other dealings in Dollars or any Alternative Currency (other than Euro) to be carried out pursuant to this Agreement in respect of any such LIBOR
Loan, such day shall be a day on which dealings in deposits in Dollars or such Alternative Currency are conducted by and between banks in the London
interbank eurodollar market; provided, however,
(b) if such day relates to any interest rate settings as to a LIBOR Loan denominated in Euro, any fundings, disbursements, settlements and
payments in Euro in respect of any such LIBOR Loan, or any other dealings in Euro to be carried out pursuant to this Agreement in respect of any such
LIBOR Loan, such day shall be a TARGET Day.
"Capital Expenditures" shall mean, for any period, the aggregate of all expenditures (whether paid in cash or accrued as liabilities and including
in all events all amounts expended or capitalized under Capital Leases) by the Borrower and the Restricted Subsidiaries during such period that, in conformity
with GAAP, are or are required to be included as capital expenditures on a consolidated statement of cash flows of the Borrower and its Subsidiaries
(including capitalized software expenditures, customer acquisition costs and incentive payments, conversion costs and contract acquisition costs).
"Capital Lease" shall mean, as applied to any Person, any lease of any property (whether real, personal or mixed) by that Person as lessee that, in
conformity with GAAP, is, or is required to be, accounted for as a capital lease on the balance sheet of that Person.
