"Dollars" and "$" shall mean dollars in lawful currency of the United States of America.
"Domestic Subsidiary" shall mean each Subsidiary of the Borrower that is organized under the laws of the United States, any state thereof, or the
District of Columbia.
"Drawing" shall have the meaning provided in Section 3.4(b).
"EMU" shall mean the economic and monetary union in accordance with the Treaty of Rome 1957, as amended by the Single European Act
1986, the Maastricht Treaty of 1992 and the Amsterdam Treaty of 1998.
"EMU Legislation" shall mean the legislative measures of the European Council for the introduction of, changeover to or operation of a single or
unified European currency.
"Environmental Claims" shall mean any and all actions, suits, orders, decrees, demands, demand letters, claims, liens, notices of
noncompliance, violation or potential responsibility or investigation (other than internal reports prepared by the Borrower or any of the Subsidiaries (a) in the
ordinary course of such Person's business or (b) as required in connection with a financing transaction or an acquisition or disposition of real estate) or
proceedings relating in any way to any Environmental Law or any permit issued, or any approval given, under any such Environmental Law (hereinafter,
"Claims"), including, without limitation, (i) any and all Claims by governmental or regulatory authorities for enforcement, cleanup, removal, response,
remedial or other actions or damages pursuant to any applicable Environmental Law and (ii) any and all Claims by any third party seeking damages,
contribution, indemnification, cost recovery, compensation or injunctive relief relating to the presence, release or threatened release of Hazardous Materials or
arising from alleged injury or threat of injury to health or safety (to the extent relating to human exposure to Hazardous Materials), or the environment
including, without limitation, ambient air, surface water, groundwater, land surface and subsurface strata and natural resources such as wetlands.
"Environmental Law" shall mean any applicable Federal, state, foreign or local statute, law, rule, regulation, ordinance, code and rule of
common law now or hereafter in effect and in each case as amended, and any binding judicial or administrative interpretation thereof, including any binding
judicial or administrative order, consent decree or judgment, relating to the protection of environment, including, without limitation, ambient air, surface
water, groundwater, land surface and subsurface strata and natural resources such as wetlands, or human health or safety (to the extent relating to human
exposure to Hazardous Materials), or Hazardous Materials.
"Equity Investments" shall have the meaning provided in the preamble to this Agreement.
"Equity Offering" shall mean any public or private sale of common stock or Preferred Stock of the Borrower or any of its direct or indirect
parent companies (excluding Disqualified Stock), other than: (a) public offerings with respect to the Borrower's or any direct or indirect parent company's
common stock registered on Form S-8, (b) issuances to any Subsidiary of the Borrower and (c) any Cure Amount.
"ERISA" shall mean the Employee Retirement Income Security Act of 1974, as amended from time to time. Section references to ERISA are to
ERISA as in effect at the Original Closing Date and any subsequent provisions of ERISA amendatory thereof, supplemental thereto or substituted therefor.
