16. Miscellaneous
(a) This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York and as applicable, operating circulars
of the Federal Reserve Bank, federal laws and regulations as amended, New York Clearing House rules, the DTC Rules, and general commercial
bank practices applicable to commercial paper issuance and payment, funds transfer and related activities.
(b) This Agreement may not be assigned by the Issuer and may not be modified, or amended or supplemented except by a writing or writings duly
executed by the duly authorized representatives of the Issuer and the Bank.
(c) This Agreement contains the entire understanding and agreement between the parties with respect to the subject matter hereof. All prior agreements,
understandings, representations, statements, promises, inducements, negotiations, and undertakings and all existing contracts previously
executed between said parties with respect to said subject matter are superseded hereby.
(d) With respect to all references herein to nouns, insofar as the context requires, the singular form shall be deemed to include the plural, and the
plural form shall be deemed to include the singular.
