offeesfromtechnicalsupportserviceswhicharerecognizedratablyoverthecontracttermaswellasrevenuesfromproducttraining
andcertification,andconsultingservicesrevenuerelatedtoimplementationoftheCompany’sproducts,whichisrecognizedas
theservicesareprovided.
TheCompany licenses itsproducts bundled with an initial subscription forlicenseupdates thatprovide the end-user with free
enhancementsandupgradestothelicensedproductonawhenandifavailablebasis.Customersmayalsoelecttopurchasetechnical
support,producttrainingor consultingservices.TheCompanyallocatesrevenuetolicenseupdatesandanyotherundelivered
elementsofthearrangementbasedon VSOEoffairvalueofeachelementandsuchamountsaredeferreduntiltheapplicable
deliverycriteria andother revenue recognitioncriteriadescribed abovehavebeen met.The balanceoftherevenue,netof any
discountsinherentinthearrangement,isallocatedtothedeliveredproductusingtheresidualmethodandrecognizedattheoutsetof
thearrangementastheproductlicensesaredelivered.Ifmanagementcannotobjectivelydeterminethefairvalueofeachundelivered
elementbasedonVSOE,revenuerecognitionisdeferreduntilallelementsaredelivered,allserviceshavebeenperformed,oruntil
fairvaluecanbeobjectivelydetermined.
Inthenormalcourseofbusiness,theCompanydoesnotpermitproductreturns,butitdoesprovidemostofitsdistributorsand
value-addedresellerswithstockbalancingandpriceprotectionrights.Stockbalancingrightspermitdistributorstoreturnproductsto
theCompanybytheforty-fifthdayofthefiscalquarter,subjecttoorderinganequaldollaramountoftheCompany’sotherproducts
priortothelastdayofthesamefiscalquarter.PriceprotectionrightsrequirethattheCompanygrantretroactivepriceadjustments
forinventoriesofproductsheldbydistributorsorresellersifitlowerspricesforsuchproducts.TheCompanyestablishesprovisions
forestimatedreturnsforstockbalancingandpriceprotectionrights,aswellasothersalesallowances,concurrentlywiththerecognition
ofrevenue.Theprovisionsareestablishedbaseduponconsiderationofavarietyoffactors,including,amongotherthings,recent
andhistoricalreturnratesforbothspecificproductsanddistributors,estimateddistributorinventorylevelsbyproduct,theimpact
ofanynewproductreleasesandprojectedeconomicconditions.Actualproductreturnsforstockbalancingandpriceprotection
provisionsincurredare,however,dependentuponfutureevents,includingtheamountofstockbalancingactivitybydistributors
andthelevelofdistributorinventoriesatthetimeofanypriceadjustments.TheCompanycontinuallymonitorsthefactorsthatinfluence
thepricingofitsproductsanddistributorinventorylevelsandmakesadjustmentstotheseprovisionswhenitbelievesactualreturnsand
otherallowancescoulddifferfromestablishedreserves.TheCompany’sabilitytorecognizerevenueuponshipmenttodistributors
ispredicatedonitsabilitytoreliablyestimatefuturestockbalancingreturns.Ifactualexperienceorchangesinmarketcondition
impairstheCompany’sabilitytoestimatereturns,itwouldberequiredtodefertherecognitionofrevenueuntilthedeliveryofthe
producttotheend-user.Allowancesforestimatedproductreturnsamountedtoapproximately$2.3millionatDecember31,2005
andDecember31,2004.TheCompanyhasnotreducedandhasnocurrentplanstoreduceitspricesforinventorycurrentlyheldby
distributorsorresellers.Accordingly,therewerenoreservesrequiredforpriceprotectionatDecember31,2005andDecember31,2004.
TheCompanyalsorecordsestimatedreductionstorevenueforcustomerprogramsandincentiveofferingsincludingvolume-based
incentives.Ifmarketconditionsweretodecline,theCompanycouldtakeactionstoincreaseitscustomerincentiveofferings,which
couldresultinanincrementalreductiontorevenueatthetimetheincentiveisoffered.
ProductConcentration
TheCompany derivesasubstantial portion of itsrevenues from itsCitrix Presentation Serverproduct andanticipates that this
productandfuturederivativeproductsandproductlinesbaseduponthistechnologywillcontinuetoconstituteamajorityofits
revenue.TheCompanycouldexperiencedeclinesindemandforproducts,whetherasaresultofgeneraleconomicconditions,new
competitiveproductreleases,pricecompetition,lackofsuccessofitsstrategicpartners,technologicalchangeorotherfactors.
CostofRevenues
Costofproductlicenserevenuesconsistsprimarilyofhardware,productmediaandduplication,manuals,packagingmaterials,
shippingexpense,servercapacitycostsandroyalties.Inaddition,theCompanyisapartytolicensingagreementswithvarious
entities,whichgivetheCompanytherighttousecertainsoftwarecodeinitsproductsorinthedevelopmentoffutureproductsin
exchangeforthepaymentofafixedfeeorcertainamountsbaseduponthesalesoftherelatedproduct.Thelicensingagreements
generallyhavetermsrangingfromonetofiveyears,andgenerallyincluderenewaloptions.However,someagreementsmaybe
perpetualunlessexpresslyterminated.Royaltiesandothercostsrelatedtotheseagreementsareincludedincostofrevenues.Cost
