appliance products are integrated with software that is essential to the functionality of the equipment. The Company provides
unspecifiedsoftwareupgradesandenhancementsrelatedtotheappliancesthroughitsmaintenancecontracts.Accordingly,for
theseappliances,theCompanyaccountsforrevenueinaccordancewithSOPNo.97-2,SoftwareRevenueRecognition,andall
relatedinterpretations,asdescribedindetailbelow.
Revenueisrecognizedwhenitisearned.TheCompany’srevenuerecognitionpoliciesareincompliancewithSOP97-2,Software
RevenueRecognition(asamendedbySOP98-4andSOP98-9)andrelatedinterpretations.TheCompany’sapplianceproducts
areintegratedwithsoftwarethatisessentialtothefunctionalityoftheequipmentandtheCompanyprovidesunspecifiedsoftware
upgradesandenhancementsrelatedtotheappliancesthroughitsmaintenancecontracts.Accordingly,fortheseappliances,the
CompanyaccountsforrevenueinaccordancewithSOP97-2.Inaddition,theCompany’sonlineservicesrevenueisrecognizedin
accordancewithEmergingIssuesTaskForce(“EITF”)No.00-3,ApplicationofAICPAStatementofPosition97-2toArrangements
ThatIncludetheRighttoUseSoftwareStoredonAnotherEntity’sHardware.TheCompanyrecognizesrevenuewhenallofthe
followingcriteriaaremet:persuasiveevidenceofthearrangementexists;deliveryhasoccurredandtheCompanyhasnoremaining
obligations;thefeeisfixedordeterminable;andcollectibilityisprobable.TheCompanydefinesthesefourcriteriaasfollows:
• Persuasive evidenceofthe arrangementexists.TheCompanyrecognizes revenue onpackagedproducts and appliances
uponshipmenttodistributorsandresellers.Forpackagedproductandappliancesales,itistheCompany’scustomaryprac-
ticetorequireapurchaseorderfromdistributorsandresellerswhohavepreviouslynegotiatedamasterpackagedproduct
distributionorresaleagreement.Forelectronicandpaperlicensearrangements,theCompanytypicallyrequiresapurchase
orderfromthedistributor,resellerorend-user(dependingonthearrangement)andanexecutedproductlicenseagreement
fromtheend-user.Fortechnicalsupport,producttrainingandconsultingservices,theCompanyrequiresapurchaseorder
andanexecutedagreement.Foronlineservices,theCompanyrequiresthecustomerortheresellertoelectronicallyaccept
thetermsofanonlineservicesagreementorexecuteacontractandgenerallysubmitapurchaseorder.
• DeliveryhasoccurredandtheCompanyhasnoremainingobligations.Forproductlicenseandappliancesales,theCompany’s
standarddeliverymethodisfree-on-boardshippingpoint.Consequently,itconsidersdeliveryofpackagedproductstohave
occurredwhentheproductsareshippedpursuanttoanagreementandpurchaseorder.TheCompanyconsidersdeliveryof
licensesunderelectroniclicensingagreementstohaveoccurredwhentherelatedproductsareshippedandtheend-userhas
beenelectronicallyprovidedthesoftwareactivationkeysthatallowtheend-usertotakeimmediatepossessionoftheproduct.
Forproducttrainingandconsultingservices,theCompanyfulfillsitsobligationwhentheservicesareperformed.Forlicense
updates,technicalsupportandonlineservices,theCompanyassumesthatitsobligationissatisfiedratablyovertherespective
termsoftheagreements,whicharetypically12to24months.
• Thefeeisfixedordeterminable.Inthenormalcourseofbusiness,theCompanydoesnotprovidecustomerstherighttoa
refundofanyportionoftheirlicensefeesorextendedpaymentterms.TheCompanysellslicenseupdatesandservices,which
includestechnicalsupport,producttrainingandconsultingservices,andonlineservicesseparatelyanditdeterminesvendor
specificobjectiveevidence(“VSOE”)offairvaluebythepricechargedforeachproductwhensoldseparatelyorapplicable
renewalrates.
• Collectibilityisprobable.TheCompanydeterminescollectibilityonacustomer-by-customerbasisandgenerallydoesnotrequire
collateral.TheCompanytypicallysellsproductlicensesandlicenseupdatestodistributorsorresellersforwhomthereare
historiesofsuccessfulcollection.Newcustomersaresubjecttoacreditreviewprocessthatevaluatestheirfinancialposition
andultimatelytheirabilitytopay.Customersarealsosubjecttoanongoingcreditreviewprocess.IftheCompanydetermines
fromtheoutsetofanarrangementthatcollectibilityisnotprobable,revenuerecognitionisdeferreduntilcustomerpaymentis
receivedandtheotherparametersofrevenuerecognitiondescribedabovehavebeenachieved.Management’sjudgment
isrequiredinassessingtheprobabilityofcollection,whichisgenerallybasedonevaluationofcustomer-specificinformation,
historicalexperienceandeconomicmarketconditions.
Netrevenuesincludethefollowingcategories:ProductLicenses,LicenseUpdates,OnlineServicesandTechnicalServices.Product
LicensesprimarilyrepresentfeesrelatedtothelicensingoftheCompany’sproducts.Theserevenuesarereflectednetofsales
allowancesandprovisionsforstockbalancingreturnrights.LicenseUpdatesconsistoffeesrelatedtotheSubscriptionAdvantage
programthatarerecognizedratablyoverthetermofthecontract,whichistypically12–24months.SubscriptionAdvantageisa
