(2) In February 2012, VMware’s Board of Directors authorized the repurchase of up to $600.0 million of VMware’s Class A common stock
through the end of 2013 . In November 2012, VMware's Board of Directors authorized the repurchase of up to an additional $250.0 million
of VMware's Class A common stock through the end of 2014 . VMware's Class A common stock has been, and may in the future be,
purchased pursuant to our stock repurchase authorizations, from time to time, in the open market or through private transactions, subject to
market conditions. We are not obligated to purchase any shares under our stock repurchase program. Subject to applicable laws, repurchases
under our stock repurchase program may be made at such times and in such amounts as we deem appropriate. The timing of any repurchases
and the actual number of shares repurchased will depend on a variety of factors, including VMware’s stock price, cash requirements for
operations and business combinations, corporate and regulatory requirements and other market and economic conditions. Purchases under
our stock repurchase program can be discontinued at any time that we feel additional purchases are not warranted.
