(1) On March 3, 2014, the Compensation Committee established the threshold, target and maximum payout levels for the 2014-
2016 performance share awards granted pursuant to our 2014 Stock Incentive Plan. Amounts earned under performance
share awards may be increased or decreased by 25% based on Staples’ three-year TSR relative to the returns generated by
the S&P 500 over the same period.
The grant date fair value of these awards is based on the closing price of our common stock ($13.40) on March 5, 2014
(grant date). The table below provides additional information about the value of the awards based on threshold and maximum
payout levels for all three years of the performance period, excluding any increase or decrease based on TSR performance:

of the fiscal years within the performance period. Actual shares earned are based on achievement of goals established for each
