Other than compensation agreements and other arrangements which are described under “Executive
Compensation,” and the transactions described above, since January 28, 2012, there has not been, and there is not
currently proposed, any transaction or series of similar transactions to which we were or will be a party in which
the amount involved exceeded or will exceed $120,000 and in which any of our directors, executive officers,
holders of more than 5% of any class of our voting securities or any member of the immediate family of the
foregoing persons had or will have a direct or indirect material interest.

Stockholder Proposals for the 2014 Annual Meeting
Requirements for Stockholder Proposals to be Brought Before an Annual Meeting. The Company’s Bylaws
provide that, for stockholder nominations to our board of directors or other proposals to be considered at an
annual meeting, the stockholder must give timely notice thereof in writing to the Corporate Secretary at
Restoration Hardware Holdings, Inc., 15 Koch Road, Suite J, Corte Madera, CA 94925.
To be timely for the 2014 Annual Meeting of Stockholders, a stockholder’s notice must be delivered to or
mailed and received by our Corporate Secretary at our principal executive offices between February 5, 2014 and
April 7, 2014. A stockholder’s notice to the Corporate Secretary must set forth as to each matter the stockholder
proposes to bring before the annual meeting the information required by the Company’s Bylaws.
Requirements for Stockholder Proposals to Be Considered for Inclusion in Our Proxy Materials.
Stockholder proposals submitted pursuant to Rule 14a-8 under the Exchange Act and intended to be presented at
the Company’s 2014 annual meeting must be received by us not later than February 5, 2014 in order to be
considered for inclusion in the Company’s proxy materials for that meeting.

Form 10-K for fiscal year 2012, including the financial statements, schedule and list of exhibits, and any exhibit

“Householding”—Stockholders Sharing the Same Last Name and Address
The SEC has adopted rules that permit companies and intermediaries (such as brokers) to implement a
delivery procedure called “householding.” Under this procedure, multiple stockholders who reside at the same
address may receive a single copy of our annual report and proxy materials, unless the affected stockholder has
provided contrary instructions. This procedure reduces printing costs and postage fees, and helps protect the
environment as well.
This year, a number of brokers with account holders who are stockholders of the Company will be
“householding” our annual report and proxy materials. A single set of annual report and other proxy materials
will be delivered to multiple stockholders sharing an address unless contrary instructions have been received
from the affected stockholders. Once you have received notice from your broker that it will be “householding”
communications to your address, “householding” will continue until you are notified otherwise or until you
revoke your consent. Stockholders may revoke their consent at any time by contacting Broadridge ICS, either by
