Potential Payments Upon Termination and Change in Control
The information below describes and quantifies certain compensation that would have been paid to the
following named executive officers in the event of their termination of employment or a change in control,
assuming such event was effective at February 2, 2013. Due to a number of factors that affect the nature and
amount of any benefits provided upon the events discussed below, any actual amounts paid or distributed in the
event of an officer’s termination or a change in control may be different. Factors that could affect these amounts
include the timing during the year of any such event.

(1) The amounts set forth in this column are payable upon termination without cause or resignation with good
reason. In the event of the executive’s death or disability, he would be entitled to receive his accrued
benefits through the date of termination, plus a pro-rata amount of the annual bonus he would have been
eligible to receive had he remained employed by us for the remainder of the year.
(2) This amount includes salary continuation in the aggregate amount of $3 million paid over 24 months and a
lump sum payment of $1,025,000, which corresponds to Mr. Alberini’s target MIP bonus amount for fiscal
2012.
(3) This amount includes all health benefits Mr. Alberini would have been entitled to following termination of
employment.
