information is accumulated and communicated to our management, including our Principal Executive Officer and
our Principal Financial Officer, as appropriate, to allow timely decisions regarding required disclosure.
Our management, with the participation of our Chief Executive Officer and Chief Financial Officer,
evaluated the effectiveness of our disclosure controls and procedures (as defined in Rules 13a-15(e) and 15d-
15(e) under the Securities Exchange Act of 1934, as amended) as of the end of the period covered by this annual
report. Based on that evaluation, our Chief Executive Officer and Chief Financial Officer have concluded that as
of the end of the period covered by this annual report our disclosure controls and procedures were effective to
provide reasonable assurance that information required to be disclosed by us in reports that we file or submit
under the Securities Exchange Act of 1934, as amended, is recorded, processed, summarized and reported within
the time periods specified in the SEC’s rules and forms, and include controls and procedures designed to ensure
that the information required to be disclosed by us in such reports is accumulated and communicated to our
management, including our Chief Executive Officer and Chief Financial Officer, as appropriate, to allow timely
decisions regarding required disclosures.
Exemption from Management’s Report on Internal Control Over Financial Reporting for the Fiscal Year
Ended February 2, 2013
This annual report does not include a report of management’s assessment regarding internal control over
financial reporting or an attestation report of the company’s registered public accounting firm due to a transition
period established by rules of the Securities and Exchange Commission for newly public companies.
Changes in Internal Control Over Financial Reporting
There was no change in our internal control over financial reporting that occurred during our most recent
fiscal quarter that has materially affected, or is reasonably likely to materially affect, our internal control over
financial reporting.
