Our common stock, $0.01 par value per share (the “Common Stock”), is traded on the New York Stock Exchange (the “NYSE”) under the symbol
“ROV.” The Common Stock commenced public trading on November 21, 1997. As of November 30, 2002, there were approximately 279 holders of
record of Common Stock based upon data provided by the transfer agent for the Common Stock. The following table sets forth the reported high and

We have not declared or paid and do not anticipate paying cash dividends in the foreseeable future, but intend to retain any future earnings for
reinvestment in our business. In addition, the terms of our credit facility restrict our ability to pay dividends to our shareholders. Any future
determination to pay cash dividends will be at the discretion of the Board of Directors and will be dependent upon our financial condition, results of
operations, capital requirements, contractual restrictions and such other factors as the Board of Directors deems relevant.
