notice of such change as provided herein.
13.2 Amendments and Waivers
. Subject to applicable Law, any provision of this Agreement may be amended or waived if,
but only if, such amendment or waiver is in writing and is signed, in the case of an amendment, by each of the Parties, or, in the case of
a waiver, by the Party against whom the waiver is to be effective. No course of dealing and no failure or delay on the part of any Party
hereto in exercising any right, power or remedy conferred by this Agreement shall operate as a waiver thereof or otherwise prejudice
such party’
s rights, powers and remedies. The failure of any of the Parties to this Agreement to require the performance of a term or
obligation under this Agreement or the waiver by any of the Parties to this Agreement of any breach hereunder shall not prevent
subsequent enforcement of such term or obligation
